1. Agreement to Terms
Noteshift AI is a product of DataKwery LLC ("Company", "we", "us", or "our"). By accessing or using Noteshift AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.
Payment processing is handled by Stripe, and your credit card statement will show charges from DataKwery LLC.
2. Description of Service
Noteshift AI provides AI-powered music notation generation and transformation services. The Service allows users to create, edit, transpose, and export music notation through conversational AI interactions.
3. User Accounts
You are responsible for:
- Maintaining the security of your account and password
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and current
You must be at least 13 years old to use this Service. If you are under 18, you must have permission from a parent or guardian.
4. Subscription Plans and Billing
4.1 Free Trial
New users receive a free trial with 20 AI generations. The free trial does not expire based on time, but only when all 20 generations have been used.
4.2 Paid Subscriptions
Paid subscription plans (Pro and Max) are billed on a recurring basis (monthly or annually) until canceled. By subscribing, you authorize us to charge your payment method on each billing cycle.
All payments are processed securely through Stripe, our third-party payment processor. Your payment information is transmitted directly to Stripe and is never stored on our servers. Stripe is PCI-DSS compliant and adheres to the highest security standards for payment processing.
4.3 Price Changes
We reserve the right to change our prices. If we change the price of your subscription, we will notify you at least 30 days in advance. Price changes will apply to subsequent billing cycles.
4.4 Cancellation and Access After Cancellation
You may cancel your subscription at any time from your account settings or through the Stripe customer portal. Upon cancellation:
- Your subscription will be marked as canceled but will remain active until the end of your current billing period
- You will retain full access to all paid features and your generation credits through the end of the period you have already paid for
- Your subscription will not automatically renew for the following billing cycle
- No further charges will be made to your payment method
- After your billing period ends, your account will revert to the Free tier with limited generations
All of your saved music notation, chat history, and favorites will be preserved when you downgrade to Free.
4.5 Refund Policy
All payments are final and non-refundable. By subscribing to a paid plan, you agree that:
- No refunds will be provided for any reason, including but not limited to dissatisfaction with the Service, unused generations, or early cancellation
- We do not provide refunds, credits, or prorated refunds for partial billing periods
- Refunds will not be issued for periods during which you did not use the Service
- Technical issues, service interruptions, or your inability to access the Service do not qualify for refunds
- If you cancel your subscription, you will not receive a refund for the current billing period
We encourage you to use the Free tier to evaluate the Service before subscribing to a paid plan. All subscription charges are processed immediately upon purchase and are non-refundable.
4.6 Plan Changes and Upgrades
You may upgrade or downgrade your subscription plan at any time:
- Upgrades: When upgrading to a higher tier, you will be charged a prorated amount for the remainder of your current billing period, and your generation credits will be adjusted accordingly
- Downgrades: When downgrading to a lower tier, the change will take effect at the end of your current billing period. You will retain your current tier's benefits until then. Generation credits will be adjusted to the new tier's limit when the downgrade takes effect
- Annual to Monthly: Switching from annual to monthly billing requires canceling your annual subscription and subscribing to a monthly plan after the annual period ends
All plan changes are managed through Stripe and follow their proration and billing policies.
4.7 Failed Payments
If a recurring payment fails:
- Stripe will automatically retry the payment according to their retry schedule
- You will receive email notifications about the failed payment
- Your subscription will be marked as past due, and access to paid features may be restricted
- If payment fails repeatedly, your subscription will be canceled, and your account will revert to the Free tier
- You are responsible for maintaining valid payment information and ensuring sufficient funds are available
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Violate any laws, regulations, or third-party rights
- Transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Use automated systems to access the Service without permission
- Resell or redistribute the Service without authorization
- Use the Service to generate content that infringes copyright or other intellectual property rights
6. Payment Security
Your payment security is our priority:
- We use Stripe, a PCI Service Provider Level 1 certified payment processor—the highest level of certification in the payments industry
- Your credit card information never touches our servers and is transmitted directly to Stripe using secure encryption
- All payment transactions are encrypted using TLS 1.2 or higher
- We only store non-sensitive payment metadata (subscription status, last 4 card digits, billing dates) necessary to manage your account
7. Intellectual Property
7.1 Service Content
The Service and its original content, features, and functionality are owned by Noteshift AI and are protected by international copyright, trademark, and other intellectual property laws.
7.2 User Content
You retain all rights to the music notation you create using the Service. By using the Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service to you.
8. Disclaimers and Limitations of Liability
8.1 Service Availability
The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.
8.2 AI-Generated Content
Music notation generated by our AI may contain errors or inaccuracies. You are responsible for reviewing and verifying all generated content before use. We are not liable for any issues arising from AI-generated content.
8.3 Limitation of Liability
To the maximum extent permitted by law, Noteshift AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
9. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
